Assignment and Assumption in M&A Deals: What New York Businesses Must Know

Whether contracts transfer at all depends on how the deal is structured. In a stock purchase, nothing transfers. The entity remains the counterparty, so anti-assignment clauses are not triggered. Change-of-control provisions are — and they appear in the same agreements, doing the same work by different means. In an asset purchase, every contract moves individually. Diligence means reading each one for three things: whether assignment is restricted, whether the restriction merely creates a breach or actually voids the transfer, and whether consent can realistically be obtained from a counterparty who now has leverage it did not have last week. Consent is not always required. Rights are generally assignable without permission. The work is identifying which contracts depart from that default — and those are usually the ones that matter most: the anchor customer, the facility lease, the software license the business runs on. Some things do not transfer under any language. Permits, licenses, and regulatory approvals frequently require reapplication rather than assignment, on their own timelines. And assumption does not release the seller. That requires a novation from each counterparty, obtained individually. Sellers who close and consider the matter finished sometimes learn otherwise years later.
