Without it, a statement of work signed later can be argued to override the liability cap, the indemnity, or the IP assignment negotiated in the master agreement — terms the SOW drafters never intended to touch. The workable approach is to split it: the SOW controls scope, schedule, and price; the MSA controls everything legal, and a SOW may modify those terms only by express reference. Liability has two layers, and the exceptions matter more than the cap. Consequential damages are typically excluded, and aggregate liability is typically capped at fees paid over some prior period. What sits outside that cap — indemnification obligations, breach of confidentiality, IP infringement, willful misconduct — is where the real negotiation happens. IP does not transfer by default. A contractor who develops something for you retains the copyright absent an express written assignment, regardless of who paid. This belongs in the MSA rather than in each SOW, or you will negotiate it repeatedly. Termination runs on two tracks. Ending the MSA and ending an active SOW are different acts with different consequences. What happens to work in progress, and what is owed for it, should not be left to be worked out at the moment the relationship is already breaking down.
