Federally, a refund claim is due within three years of filing the return or two years of paying the tax, whichever is later (26 U.S.C. § 6511). New York applies the same structure under Tax Law § 1087, and where the overpayment follows a federal adjustment, Tax Law § 211(3) requires the corporation to report the final determination within ninety days — one hundred twenty for a combined filer — with the claim due two years after that. Overpayments usually come from estimated payments that exceeded the final liability, or from credits available but never claimed. Net operating losses are a different matter: a carryforward reduces future tax rather than generating a refund, and carrybacks were eliminated for most corporations for losses arising after 2017. The claim goes in on Form 1120-X federally and as an amended CT-3 for New York, with New York City franchise tax filed separately. What determines the outcome is whether the records already support the positions claimed, not what is assembled after the claim is filed — and a claim advanced without a reasonable basis carries a penalty of twenty percent of the excessive amount under § 6676.
