An unsponsored or Level I facility trading over the counter can rely on the Rule 12g3-2(b) exemption. Listing on a U.S. .xchange moves the issuer into registration and continuous reporting, with the foreign private issuer analysis that follows. And an unsponsored program can be created without the issuer's agreement. A depositary may establish one, which produces U.S. .rading and U.S. .olders an issuer did not choose to have.

Financial statements drive the budget. An FPI reporting under IFRS as issued by the IASB files without reconciliation. One reporting under home country standards must reconcile to U.S. GAAP, which is where the cost and the calendar go. Governance follows home country practice, with exceptions. Exchange rules permit an FPI to follow its own jurisdiction's practices for much of their corporate governance requirements — but not all of them, and reliance must be disclosed. The harder problem is timing. Two disclosure regimes with different triggers and different deadlines means information can be public in one market and material non-public information in the other. That gap is managed through disclosure controls built before listing, not after the first mismatch.
