When the Department of State clears a corporate or LLC name, it checks only whether the name is distinguishable from others already on its index, under Business Corporation Law § 301 and Limited Liability Company Law § 204. A Certificate of Assumed Name under General Business Law § 130 lets an existing entity operate under another name — filed with the Department of State for a corporation or LLC, with the county clerk for a sole proprietor or partnership. Neither filing involves any review of trademark rights. That is why a search of the state entity database is not a clearance search. A name can be available on the index and still infringe a mark used by a business that never registered in New York, or registered with the USPTO under a slightly different spelling. Clearing a name means searching the federal register and looking for unregistered use in the markets the business will actually enter. When a dispute arises, the question is not who filed first with the state. It is who used the mark first, in which geographic area, and for which goods or services. A federal registrant has rights nationwide, but a business that was already using the name in a particular area before that filing keeps its rights there. Resolving the conflict usually comes down to those facts rather than to the registration certificates either side holds.
